I am happy to accept work from overseas providing our terms of trade are agreed to and work is in English. Any work undertaken by HeavenSent Typing Services is subject to the following Terms and Conditions:

Pricing
All work will be charged in accordance with the pricing scale in force at the time the work is commissioned. Special rating may be applied, at the discretion of HeavenSent Typing Services for complex or highly technical material, or where the audio quality or content of an assignment is not as indicated at the time of quotation. This will be discussed with the client at the earliest opportunity.

All costs of materials supplied or used in the course of work, telephone, fax and email charges etc will be invoiced in addition to the rates quoted.

Confidentiality
HeavenSent Typing Services has made a commitment to comply with the provisions of the Privacy Act 1993 which relate to the collection, storage, usage and disclosure of personal and confidential information and undertake to keep all information supplied by the Client strictly confidential and will not disclose any information to third parties without your written permission.

All transcriptionists are required to sign a HeavenSent Typing Services Confidentiality Agreement, copies of which can be viewed upon request. If you wish HeavenSent Typing Services to sign your own Confidentiality Agreement I am happy to consider this upon receipt of a copy.

Payment
Payment shall be made on completion of contracted work, unless a monthly account has been agreed, whereupon the invoice will be issued on the last working day of the month in which the work was undertaken. Payment will be due within seven working days of invoice production.

Payment can be made by:

- Cheque payable to 'HeavenSent Typing Services'
- Bank transfer - details shown on invoice

Any bank charges incurred by HeavenSent Typing Services, arising from the return of unpaid cheques shall be settled by the client.

All estimates and invoices are subject to GST at the prevailing rate.

Amendments
Clients will be deemed to be responsible for proof-reading all materials and no responsibility will be accepted by HeavenSent Typing Services for any errors arising in final copies of the material. Any errors in transcription identified within 72 hours of completion will be amended free of charge, however all other amendments will be charged according to current rates.

Sub Contractors
HeavenSent Typing Services reserve the right to sub contract transcription services to approved typists, who are subject to our Confidentiality Agreement.

All Sub-Contractors are fully qualified, experienced secretaries, who have worked at senior secretarial/PA level within a variety of professions. All have minimum typing speeds of 70 wpm, ensuring prompt, accurate turnaround of assignments.

Force Majeure
In the event of us being prevented from completing or delivering any work, or should the work be subject to any delay due to any cause beyond the control of either party, we shall be authorised to give you notice of suspension or cancellation of the contract in whole or in part, without liability for any loss arising thereby and you shall pay HeavenSent Typing Services for any work or materials that have been provided to the date of any such notice. You shall not have the right to set-off or counter-claim and any amount outstanding shall become immediately due and payable.

Intellectual Property Rights
On request by the Client in writing, HeavenSent Typing Services will return any original materials supplied by the Client and erase any computer files relating to the services, once the services are completed.

The Client will indemnify HeavenSent Typing Services in full against all losses, costs and expenses, including, without prejudice to the generality of the foregoing, legal fees, incurred as a result of any claim by any third party that HeavenSent Typing Services has breached any Intellectual Property Rights or any third party's rights in Confidential Information in carrying out any of the Client's instructions in relation to the Services.

By forwarding work to HeavenSent Typing Services you are undertaking that you have agreed with these terms and that your undertaking is legally binding.
